Welcome to Haven. These Terms & Conditions ("Terms") govern your use of the Haven website, app, and related services (the "Service") provided by Janine Nicoll, an individual sole proprietor based in the United States ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Who can use Haven

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Haven. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

2. What Haven is — and what it is not

Haven is a wellness companion designed to support emotional grounding for highly sensitive people. It includes guided breathing, mood journaling, ambient sounds, AI-generated affirmations, and a conversational AI companion.

Haven is not therapy, counseling, medical care, or a substitute for professional mental health support. It does not diagnose, treat, cure, or prevent any condition. The AI companion is not a licensed therapist and cannot provide clinical advice. If you are experiencing a mental health crisis, please contact the 988 Suicide & Crisis Lifeline (US) or your local emergency services immediately.

3. Your account

You are responsible for the accuracy of information you provide, keeping your login credentials confidential, and all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Submit prompts or content that is hateful, harassing, sexually explicit involving minors, or designed to produce harmful outputs
  • Attempt to jailbreak, manipulate, or bypass safety guardrails of the AI companion
  • Reverse engineer, scrape, probe, or interfere with the security of the Service
  • Use the Service to infringe intellectual property, privacy, or other rights of third parties
  • Resell, redistribute, or share access to the Service

5. AI-generated content

The AI companion and affirmation features generate responses algorithmically. Outputs may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for how you use AI outputs and should not rely on them as professional advice (medical, legal, financial, or otherwise).

You retain ownership of the content you submit (journal entries, mood notes, prompts). You grant us a limited, non-exclusive license to process this content solely to provide and improve the Service. We will not sell your personal content. AI outputs generated for you are yours to use personally; we make no warranty of originality.

6. Subscriptions and payments

Haven offers a free tier and a paid "Sanctuary" subscription (monthly or annual). Payments are processed by our reseller, Paddle.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

For payment terms, billing frequency, taxes, currencies, automatic renewal, cancellation mechanics, and refund handling, please refer to Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period until canceled. You may cancel at any time from the customer portal; access continues until the end of the current paid period.

8. Intellectual property

The Service, including its software, design, copy, logos, and underlying content (excluding user-submitted content and AI outputs generated for you), is owned by Janine Nicoll and protected by copyright, trademark, and other laws. You receive a limited, revocable, non-exclusive, non-transferable right to use the Service for your personal, non-commercial use within the plan you've selected.

9. Service availability

We work hard to keep Haven running smoothly, but we do not guarantee uninterrupted or error-free operation. Features may change, be added, or be removed over time. Scheduled maintenance and unexpected outages may occur.

10. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, pose a security or fraud risk, or for repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends; we may retain certain data as required by law or as described in our Privacy Notice.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS ARE ACCURATE, RELIABLE, OR APPROPRIATE FOR YOUR CIRCUMSTANCES.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JANINE NICOLL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury where such limitation is prohibited by law.

13. Indemnification

You agree to indemnify and hold harmless Janine Nicoll from any claims, damages, or expenses arising from (a) content you submit, (b) your misuse of the Service, or (c) your violation of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State in which Janine Nicoll resides, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless a different forum is required by applicable consumer protection law.

16. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
